TELEHEALTH CONSENT

Spade Rx, PC ("Spade Rx," "Company," "we," or "us") is a California professional medical corporation that owns and operates the website located at www.spaderx.com, and any mobile application related thereto, to provide certain Spade Rx products and services (collectively, the "Service"). Telehealth services under the Service are provided by physician(s) licensed in the State of California ("Providers"). Your access to and use of the Service requires your consent to the use of telehealth to provide the Services in the state(s) where Spade Rx, PC and its Providers are licensed to operate.

Clinical services are provided by Spade Rx, PC under the medical direction of Reuben Lakshmanan, MD (California License No. A148771). Administrative and technology services are provided by a separate, non-clinical entity that does not practice medicine or make clinical decisions.

Spade Rx, PC provides telehealth services only to patients who are physically located in the State of California at the time of their consultation. Our Providers are licensed to practice in California, and the Service is intended solely for individuals located in California. If you are not physically located in California at the time of your visit, our Providers cannot evaluate you or issue a prescription, and you should not use the Service. By using the Service, you represent and warrant that you are physically located in California at the time of each telehealth consultation. Spade Rx, PC does not prescribe or dispense controlled substances.

PURPOSE

The purpose of this consent (“Consent”) is to provide you with information about telehealth and to obtain your informed consent to the use of telehealth in the delivery of SpadeRX services to you by certain SpadeRX personnel (“Providers”). In this Consent, the terms “you” and “yours” refer to the person using the Service.

BY CLICKING “I AGREE,” CHECKING A RELATED BOX TO SIGNIFY YOUR ACCEPTANCE, USING ANY OTHER ACCEPTANCE PROTOCOL PRESENTED THROUGH THE SERVICE, OR BY USING TELEHEALTH DURING THE USE OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED, AND AGREED TO BE BOUND BY THIS CONSENT. IF YOU DO NOT AGREE TO THIS CONSENT, DO NOT CREATE AN ACCOUNT OR USE THE SERVICE.

USE OF TELEHEALTH

Telehealth involves the delivery of SpadeRX services using electronic communications, information technology or other means between a SpadeRX provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up and/or patient education, and may include but is not limited to one or more of the following:

There may be potential risks associated with the use of telehealth and other technology. These risks include but may not be limited to the following:

The quality, accuracy or effectiveness of the services you receive from your Provider could be limited.
Technology, including the Service, may contain bugs or other errors, including ones which may limit functionality, produce erroneous results, render part or all of such technology unavailable or inoperable, produce incorrect records, transmissions, data or content, or cause records, transmissions, data or content to be corrupted or lost.
Your Provider(s) may not able to provide treatment for your requested service.
Deficiencies or failures of the technology or electronic equipment used.
The electronic systems or other security protocols or safeguards used could fail, causing a breach of privacy of your medical or other information or;
Data stored and communicated electronically may be more susceptible to unintended disclosure of protected health information to third parties.

DATA PRIVACY AND PROTECTION

The electronic systems used in the Service will incorporate network and software security protocols to protect the privacy and security of your information and will include measures to safeguard data against intentional or unintentional corruption. Use of the Service may include email communications to and from you that may include your protected health information. You understand that Company does not and cannot guarantee the security or privacy of the services you use to receive communications, including your email service provider.

ACKNOWLEDGMENTS

You have the right to withdraw your consent to the use of telehealth at any time; however, our Providers solely use telehealth to provide the SpadeRX services and you will need to seek treatment from another provider after you withdraw your consent. Any withdrawal of your consent will be effective upon receipt of written notice to your Providers. Any withdrawal of your consent will not affect any other provision of this Consent, and you will continue to be bound by this Consent.

IMPORTANT MEDICAL AND TELEHEALTH DISCLOSURE

The information provided on this website is for informational purposes only and is not intended to diagnose, treat, cure, or prevent any disease. Individual results may vary. Always consult with a licensed healthcare provider before beginning any treatment, wellness program, weight management program, or medication.

Spade RX, PC provides access to telehealth services and provider-directed treatment programs for eligible patients. Treatment recommendations, prescriptions, and all clinical decisions are made solely by licensed healthcare providers based on medical necessity, patient eligibility, applicable standards of care, and state and federal laws.

Submission of a medical questionnaire, payment, participation in a telehealth consultation, or completion of a Good Faith Exam (GFE) does not guarantee that a prescription will be issued. Not all individuals qualify for treatment, and treatment decisions are made solely by the evaluating provider.

Compounded medications are prepared by licensed compounding pharmacies pursuant to a valid prescription issued by a licensed healthcare provider. Compounded medications have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for safety, effectiveness, or quality and may differ from FDA-approved medications in quality, safety, efficacy, risks, and side effects.

Novo Nordisk Inc. and Eli Lilly and Company are the only U.S. manufacturers of FDA-approved semaglutide (Rybelsus®, Ozempic®, Wegovy®) and tirzepatide (Zepbound®, Mounjaro®), respectively. These manufacturers do not supply their medications for compounding purposes.

Prescriptions, when issued, are filled and dispensed by independent licensed pharmacies. Spade RX, PC does not manufacture medications, compound medications, operate a pharmacy, or control pharmacy operations.

Weight loss, wellness, and treatment outcomes vary among individuals. No specific result, amount of weight loss, improvement, or treatment outcome is guaranteed. Individual results depend on many factors, including medical history, adherence to treatment, lifestyle factors, and provider recommendations.

Spade RX, PC does not prescribe, dispense, distribute, or facilitate the prescribing of controlled substances. All treatment recommendations and prescription decisions are made solely by licensed healthcare providers based on medical necessity, patient eligibility, and applicable state and federal laws.

Services, providers, medications, and treatment options may not be available in all states. Availability is subject to provider licensure, pharmacy restrictions, clinical appropriateness, and applicable state laws and regulations.

SpadeRX PC currently provides these services only to patients located in the State of California. Services are not currently available in any other state.
